Shares of 3D design software company Autodesk (NASDAQ:ADSK) jumped 3.6% in the pre-market session after Schneider Electric announced a $22.6 billion all-cash acquisition of competitor PTC at a 42.3% premium, the company reported in a press release. 

The transaction sparked an investor re-rating of Autodesk as a comparable engineering and industrial software asset. Acquisitions struck at hefty premiums often prompt market participants to reassess the valuation of rival firms with comparable business models.

What Is The Market Telling Us

Autodesk’s shares are somewhat volatile and have had 12 moves greater than 5% over the last year. In that context, today’s move indicates the market considers this news meaningful but not something that would fundamentally change its perception of the business.

The previous big move we wrote about was 21 days ago when the stock gained 7.5% on the news that shares of enterprise software and SaaS companies rallied broadly as investors rotated capital out of semiconductor and AI-hardware stocks following calls for an artificial intelligence development slowdown. 

Autodesk is down 21.4% since the beginning of the year, and at $225.39 per share, it is trading 30.3% below its 52-week high of $323.43 from October 2025. Investors who bought $1,000 worth of Autodesk’s shares 5 years ago would now be looking at only $816.62.
